Corporate Governance

Corporate Governance is the set of principles and minimum standards that govern the design, integration and interaction between the different interest groups of an entity. They seek to manage conflicts, mitigate management risks and achieve adequate strengthening of their administration.

BANDEX is committed to the application of good corporate governance practices that contribute to transparency, the reduction of capital costs, the improvement of operational results and the efficiency of the institution. In this section you will find: the Bylaws of the entity, the Regulations of the Board of Directors, the Corporate Governance Code (which includes the principles of corporate governance) and other aspects of the corporate governance of BANDEX and its corporate structure.

Internal and External Corporate Governance Framework and Regulations 

In this regard, BANDEX has internal and external principles, standards, and procedures to promote and ensure its sound management and operation, which have been approved by the Board of Directors. Examples of these fundamental pillars are described below:

  • Articles of Association of BANDEX;
  • Principles of Corporate Governance of BANDEX;
  • Internal Regulations of the Board of Directors;
  • Regulations of the Committees supporting the Board of Directors;
  • Regulations of the Senior Management Committees;
  • BANDEX Code of Ethics and Conduct.
  • It is emphasized that, in compliance with the principle of internal normative hierarchy, the rules and criteria provided for in the Social Statutes of BANDEX (as a hierarchically superior internal norm) and in this Code must be observed in the development of internal policies, regulations and procedures in matters of corporate governance.

  • Monetary and Financial Law No. 183-02;
  • Law No. 479-08 General of Commercial Companies and Individual Limited Liability Companies, dated December 11, 2008 and its amendments (hereinafter “Companies Law”);
  • Law No. 249-17 Securities Market;
  • Corporate Governance Regulations of the Monetary Board of the Dominican Republic approved by the First Resolution of July 2, 2015 (hereinafter “Corporate Governance Regulations of the Monetary Board”);
  • Circular 010/17 of the Superintendency of Banks of the Dominican Republic containing the second version of the Instruction on Suitability Assessment of Shareholders, Board Members, Senior Management, Key Personnel and General Personnel of Financial Intermediation Entities (hereinafter the “Suitability Instruction”);
  • Principles of Corporate Governance of the Organisation for Economic Co-operation and Development (OECD);
  • Other external regulations issued by the Monetary and Financial Administration applicable to BANDEX.
